1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you or the entity you represent ("Client", "you") and Membdel Inc. ("Membdel", "we", "our"). By accessing our website (membdel.com), submitting an evaluation inquiry, or participating in a technical proof-of-concept, you agree to be bound by these Terms.

2. Scope of Exploratory Evaluations

Submission of an evaluation request through our website is strictly non-binding and exploratory. It does not create an obligation on either party to license software or enter into commercial contracts. Formal proof-of-concept (POC) trials, on-premises deployments, and air-gapped pilot programs are executed under mutually executed Master Services Agreements (MSAs) or bespoke Evaluation Agreements specifying customized Service Level Agreements (SLAs).

3. Intellectual Property Rights

• Client Intellectual Property:You retain sole and exclusive ownership of all proprietary code, Verilog RTL files, circuit schematics, internal monorepos, training datasets, and model weight parameters provided or evaluated in connection with Membdel's tooling. Membdel acquires zero title, interest, or license in your proprietary IP.
• Membdel Technology: Membdel retains all right, title, and interest in and to its machine unlearning architectures, orthogonal projection algorithms, verification netlist analyzers (including TOFU and Yosys integration routines), mathematical proofs, trademarks, and website content.

4. Confidentiality & Air-Gapped Trust

Both parties agree to treat non-public technical, architectural, and business information exchanged during scoping as strictly Confidential Information. Membdel agrees never to exfiltrate, mirror, transmit, or expose customer model representations outside of the client-controlled evaluation infrastructure.

5. Acceptable Use & Conduct

You agree not to:

• Attempt to reverse-engineer, decompile, or disassemble proprietary binary components of Membdel unlearning engines.
• Submit malicious code, automated form spam, or denial-of-service traffic to our public web infrastructure.
• Misrepresent your identity or company affiliation when requesting technical scoping evaluations.

6. Technical Disclaimers & Benchmark Representations

Benchmark figures and telemetry reported on our website (including CFS scores, perplexity metrics, and HumanEval retention rates) reflect verified empirical trials executed on dedicated GPU testbeds using open-source synthesis tools (Yosys) and benchmarked model checkpoints. Because neural networks and unlearning dynamics vary depending on fine-tuning history and parameter scale, results on customized enterprise models will be verified during joint scoping sessions.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Membdel Inc. or its officers be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages arising out of or in connection with the use of or inability to use this website.

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising under these Terms shall be resolved through confidential good-faith negotiation, followed if necessary by binding arbitration.
